CONSTITUTION
OF
CASE WESTERN RESERVE UNIVERSITY
SPARTAN CYCLING CLUB

ARTICLE I. NAME

The name of the club is to be Case Western Reserve University Spartan Cycling Club.

ARTICLE II. PURPOSE

Case Western Reserve University Spartan Cycling Club promotes and develops the safe enjoyment of the amateur sport of cycling at all levels, with a particular focus on collegiate competition.

ARTICLE III. MEMBERSHIP

A. Members of the Club shall consist of the following teams:

  1. The members choosing to participate in competitive cycling activities shall be members of the A Team. Members of the A Team must sign a Membership Agreement/Release for file with the Case Western Reserve University Athletic Department, and a waiver form provided by the National Collegiate Cycling Association in addition to those forms required for registration in individual races and competition.
  2. Members not participating in competitive cycling activities shall be members of the B Team. Members of the B Team must sign a Membership Agreement/Release for file with the Case Western Reserve University Athletic Department.

B. Member defined.
Any current undergraduate or graduate student, faculty or staff of Case Western Reserve University may become a member of the Club. The Case Western Reserve University Spartan Cycling Club will not discriminate on the basis of race, color, creed, sex, sexual orientation, national origin, disability, age, or status as a veteran. 

C. All members agree to be bound by the regulations and by-laws of this Club by having paid the membership dues and fees specified by the by-laws.

D. All members must carry their own insurance and provide proof-of-coverage on demand.

ARTICLE IV. MEETING AND VOTING

A. Meetings
Meeting of members of the club shall be held for the purposes set forth in this Constitution. Meetings of the members shall be held as such time and place as may be specified on the notice therefore, whenever called by any of the following: The President; in the case of the President's absence, death or disability, the Vice President, or by at least (3) voting members acting with or without a meeting. Upon a request in writing delivered to the President or Secretary, any persons entitled to call such a meeting olmembers stating the purposes for which it is called, it shall be the duty of the President or the Secretary to give notice to the members as provided in this Section, and if the request is refused, then the persons making the request may fix the time and place of the meeting and give the required notice.
Written notice of meetings shall state the time, place and purposes thereof and shall, unless waived in writing by such members, be given by the President or Secretary to each member entitled to notice by telephone or electronic mail addressed to the member at the address as it appears on the records of the Club, or by electronic bulletin board at least 3 and not more than 30 days before the date of the meeting.
At any meeting of members there shall be present, in person or by proxy in order to constitute a quorum, a majority of the members which shall also constitute a quorum for the purpose of adjourning the meeting time to time without notice other than an announcement at such meeting.

B. Voting
At any meeting of the members, each member shall have one vote on each matter submitted for their vote, consent, release, or other action. All questions decided at any meeting at which a majority of the members are present shall be decided by a majority vote of the members present at the meeting.

C. Proxies
At any meeting of the members, any voting members may be represented and vote by proxy evidenced by a written instrument. Such proxy must be flied with the Secretary before the person authorized may vote thereunder.

D. Recession
The authorization or taking of any action by vote, consent, waiver or release by the members of this Club may be rescinded or removed by the same vote, consent, waiver or release as at the time of Recession or revocation would be required to authorize or take action in the first instance, subject to the rights of third parties in contract.

E. Order of meetings
At all meetings after the ascertainment of members present in person or by proxy, and the filing of proxies with the Secretary, the business of the Club shall be considered in such order as the President or a majority of the members present deem advisable and expedient. Robert Rules of Order (Latest revision) shall govern the meeting to the extent that such rules are not inconsistent with this Constitution.

F. Semester Report
At the semester meeting the President, Vice President, Secretary and Treasurer shall present a semester report showing the whole amount of real and personal property owned by the Club, where located, the amount and nature of the property acquired during the past year: the amount applied, appropriated or expended during the past year, and the purposes for which such expenditures were made, and the names and addresses of all members of the Club as the date of the report, which shall be filed with the records of the Club as part of the minutes of the semester meeting.

G. Authority and Qualifications
All of the Authority of the Club shall be exercised, and all of' the property and assets of the Club shall be managed and controlled by the members in the interests of the Athletic Department of Case Western Reserve University, except as otherwise provided herein. No person shall receive any salary or other compensation for their services as an officer, coach, or advisor, nor shall they receive compensation from the Club in any capacity. The authority of this club shall extend to the purposes set forth n the Sport Club Program Manual generally, and shall specifically be employed for the following purposes:

ARTICLE V. OFFICERS

A. General
The officers of the Club shall consist of a President, Vice President, Secretary, and Treasurer, and any called for in the By-laws. All officers must currently be undergraduate students at Case Western Reserve University in good academic standing.

B. President
The President shall, except as otherwise set forth in these regulations, be the principle representative of and spokesperson for the Club. The President shall preside at all meetings of the members and serve on the Sport Club Presidents' Council. He/she shall have general charge and supervision of' the business and affairs of the Club and shall do and perform such other duties as may be assigned to him/her from time to time by the members.

C. Vice President
The Vice President shall work in cooperation with the President in fulfilling the duties of the Presidency as stated above and serve as the delegate to the National Association of Collegiate Cycling. He/she shall perform such other duties as may, from time to time, be assigned to him/her by the members or the President. in the absence of the President, the Vice President shall discharge all the duties of the President.

D. Secretary
The Secretary shall keep the minutes of all the proceedings of the members and shall make proper records of the same; give notice of meetings of members; keep such books, including membership books as may be required by the Athletic Department or by the members; and perform such other duties as may, from time to time, he assigned to him/her by the members or the President. All books and papers pertaining to his/her office shall, for any reasonable and proper purpose, be subject at any reasonable time to the inspection of any member of the Athletic Department. Upon the expiration of the term of office, he/she shall deliver all books, papers and other property of the Club in his/her possession and/or control to the President or his/her successor. In the absence of President and the Vice President, the Secretary shall discharge all the duties of the President.

E. Treasurer
The Treasurer shall have the general supervision of all finances; he/she shall receive and safely transfer all moneys belonging to the Club to the Club account entrusted to the Case Western Reserve University Athletic Department. He/she shall perform such other duties as from time to time may be assigned to him/her by the members or the President. He/she shall keep proper books of account and keep accurate account finances of the Club, and shall present a statement of profit and loss and surplus, and a balance sheet containing a summary of the assets and liabilities, stated capital and surplus, as of the close of each semester for the Semester Report. He/she shall also prepare and present a projected budget for the coming academic year to the Sport Club Presidents' Council at the annual budget meeting. Upon the expiration of this term in office, the Treasurer shall deliver the record of all moneys, books, papers and other property of the Club in his/her possession or under his/her control, to his/her successor in office. In the absence of the President, the Vice President, and the Secretary, the Treasurer shall discharge all the duties of the President.

F. Election, removal and delegation

  1. Election
    The Officers shall be nominated at the second meeting of the spring semester. The Officers shall be elected at the third meeting of the spring semester by the majority vote of the members then present in person or by proxy. The term of office shall begin on the first day of the following fall semester, and shall extend until their successor has qualified and been elected.
  2. Removal
    Any elected officer shall be subject to removal by four-fifths vote of the members, at any time, for good cause shown. In the event of removal, an officer shall be replaced by a majority vote of the members which shall take place immediately after such removal.
  3. Delegation
    In the case of an absence of any officer of the Club the members may, without removal, member the powers and duties of such officer to any member for such period as the members deem proper, subject, however, to any limitation herein contained and only to the extent permitted by the Case Western Reserve University Athletic Department.

ARTICLE VII. FUNDS

A. Authority to Receive
The Club may receive gifts, bequests, devises, legacies and donations, whether restricted, and for such purposes as are within the general scope of its corporate purposes and objectives. Upon acceptance of such donations, the Club shall expend and administer such contributions in accordance with the terms and conditions of such gift, bequest, devise, legacy and donation. Solicitation of donations must first be approved by the Sport Club Coordinator.

B. Deposits and Expenditures
The funds of the Club shall be deposited into the Cycling Club account entrusted to the Case Western Reserve University Athletic Department. Deposits may not be used for the following purposes:

  1. Items to become the property of the individual.
  2. Alcohol.
  3. Public relations including advertisements in newspapers, classifieds, etc. (No purchase, expenditure, or reimbursement shall be made without authorization o Sport Club Coordinator.)

C. Checks
All drafts and orders for the payment of money of the Club shall be signed by the President or Treasurer, subject to the approval of the Athletic Department.

ARTICLE VIII. BY-LAWS, COMMITTEES, FACULTY ADVISOR

A. By-laws
For the government of the actions of this Club, the members may adopt by-laws consistent with the Constitution and Sport Club Program Manual. Any by-laws of the Club in effect as of the effective date of this constitution are deemed repealed, and shall be null and void, and of no force and effect.

B. Committees
The members may, from time to time, authorize or appoint such committees as may be deemed necessary or desirable to carry out the purposes, activities ad affairs of this Club. The terms of office and procedure of such committees shall be set forth in the resolution appointing such committees. Resolutions creating committees shall specify that all committee chairs serve at the will and pleasure of the Members and/or President.

C. Faculty Advisor
The Club must engage a Faculty Advisor. The Faculty Advisor must currently be a full-time employee of Case Western Reserve University . He/she shall have such duties as the members may determine. The Advisor shall have no vote at the meetings of the members and will not be compensated for his/her time or any losses resulting from his/her involvement in the Club.

ARTICLE IX. AFFILIATIONS

The Club shall abide by the rules and regulation set forth by the National Off Road Cycling Association, the United States Cycling Association, and/or any other governing body promoting and/or sponsoring competitive events. At all other times the Club shall follow the rules and regulations as stipulated by the National Collegiate Cycling Association

ARTICLE X. ADVISOR

The Clubs advisor shall be chosen and will abide by the regulations as stipulated by the Case Western Reserve University Athletic Department.

ARTICLE XL AMENDMENTS

At any meeting of the members of the Club at which a majority of the members entitled to vote at such meeting are present in person or by proxy, this Constitution may be altered, amended or repealed by a two-thirds vote of the members present at the meeting and provided that the notice of meeting sets forth the proposed alteration, amendment, or repeal. Notice of such meeting shall be served personally, or by mail, on the members not less than ten days before such meeting. Changes in the Constitution may be proposed by recommendation of the members.
